CloudFran DeliveryHub Product Addendum (Delivery, Drivers, Logistics)

Effective April 10, 2026 · Governed by Delaware law with Georgia enforceability

This Addendum supplements the CloudFran Terms of Service and is incorporated by reference into the Master Services Agreement. The Unified Payments + Marketplace Addendum also applies to payment-related features.

1. Scope

This Addendum governs the use of CloudFran DeliveryHub, including delivery coordination, driver assignment, logistics, and order fulfillment.

2. Platform Role

CloudFran operates solely as a technology platform facilitating connections between merchants, drivers, and customers. CloudFran is not a delivery carrier or logistics provider.

3. Driver Classification

Drivers are independent contractors (1099) and not employees of CloudFran. Drivers are responsible for their own taxes, insurance, and compliance with applicable laws.

4. Merchant Responsibilities

Merchants are responsible for food preparation, packaging, accuracy of orders, and compliance with health and safety regulations.

5. Delivery Responsibility

Drivers are responsible for timely delivery, handling of goods, and compliance with transportation and safety regulations.

6. Food Safety Disclaimer

CloudFran is not responsible for food safety, spoilage, contamination, or handling issues once the order leaves the merchant.

7. Fees

Transactions processed through DeliveryHub are subject to CloudFran platform fees (3.5% + $0.75 per transaction). Fees are non-refundable.

8. Chargebacks and Disputes

CloudFran mirrors payment processor protections, including $15 dispute fees. Merchants are responsible for chargebacks and associated losses.

9. Insurance and Liability

Drivers and merchants are responsible for maintaining appropriate insurance. CloudFran does not provide insurance coverage.

10. Fraud and Risk

CloudFran may suspend accounts, hold funds, or investigate suspicious activity.

11. Data Usage

Delivery and transaction data may be used for analytics, optimization, and AI improvements.

12. Liability

CloudFran is not liable for delivery delays, lost items, damages, or disputes between parties.

13. Governing Law

This Addendum is governed by Delaware law with Georgia enforceability considerations.

14. Compliance

CloudFran aligns with SOC2, logistics best practices, and audit readiness standards.
