CloudFran Omnitopia Product Addendum (Unified Commerce, Delivery Aggregation, POS Integration)
This Addendum supplements the CloudFran Terms of Service and is incorporated by reference into the Master Services Agreement. The Unified Payments + Marketplace Addendum also applies to payment-related features.
1. Scope
This Addendum governs the use of CloudFran Omnitopia, including unified commerce operations, multi-channel ordering, delivery aggregation, and POS integrations.
2. Platform Role
CloudFran provides a technology platform only and is not a merchant of record, delivery provider, or payment processor unless explicitly stated.
3. Delivery Aggregation Disclaimer
Omnitopia may integrate with third-party delivery platforms (e.g., DoorDash, Uber Eats, Grubhub). CloudFran is not responsible for delivery performance, delays, food quality, or driver conduct.
4. Merchant Responsibility
Users are solely responsible for fulfillment, food preparation, customer service, refunds, and compliance with applicable health and safety regulations.
5. POS Integration Disclaimer
Integrations with POS systems are provided as-is. CloudFran is not responsible for data mismatches, sync delays, or third-party system failures.
6. Data Accuracy
Order, inventory, and reporting data may be subject to delays or discrepancies based on third-party integrations.
7. Payments and Fees
Payments processed through Omnitopia may be subject to CloudFran platform fees (3.5% + $0.75) and third-party processor fees. Fees are non-refundable.
8. Chargebacks and Disputes
Users are responsible for all chargebacks and disputes. CloudFran mirrors processor dispute fees (e.g., $15 per dispute).
9. Third-Party Terms
Use of integrated services is subject to the terms of those providers. Users must comply with all applicable third-party agreements.
10. No Guarantee of Performance
CloudFran does not guarantee sales volume, delivery times, or operational outcomes through Omnitopia.
11. User Responsibility
Users must ensure accuracy of menus, pricing, taxes, and availability across all integrated channels.
12. International Considerations
Commerce, tax, and delivery regulations vary by jurisdiction. Users must ensure compliance with local laws.
13. Liability
CloudFran is not liable for lost revenue, operational disruptions, delivery issues, or third-party failures.
14. Data Usage
User data may be used to improve platform performance, analytics, and AI-driven optimization.
15. Governing Law
This Addendum is governed by Delaware law with Georgia enforceability considerations.
16. Compliance
CloudFran aligns with SOC2, fintech, and operational audit standards.
